Terms of Service
Important Notice
Please read these terms of service carefully as they contain important information about your legal rights, remedies, and obligations.
Definitions
Client means the person or entity that engages, requests, authorises, or receives services from Aries, including an authorised representative acting on that person's or entity's behalf.
Client Appointee means any person nominated, appointed, or serving as a director, alternate director, secretary, manager, partner, trustee, guardian, bank signatory, officer, attorney, administrator, registered agent, registered-office provider, legal-service-address provider, or registered shareholder.
Company means any company, partnership, trust, foundation, or other structure established, administered, advised, or otherwise serviced by Aries.
Aries means Aries CPA & Co.
Person includes an individual, company, partnership, trust, foundation, body corporate, unincorporated association, or other legal or organisational entity, as the context permits.
Services include accounting, audit and assurance, tax, company formation, company secretarial, registered-office, administration, client due diligence, compliance, consulting, bank or broker introduction, document, cloud, and other professional or related services that Aries agrees to provide, subject to the applicable engagement terms.
Business Activities
Aries may refuse, delay, suspend, or terminate a service or decline an instruction where a client is or becomes an excluded person, engages in illegal or prohibited activity, does not provide satisfactory information, or creates an unacceptable legal, regulatory, sanctions, professional, fraud, or reputational risk.
Aries may request further identity, ownership, control, business, source-of-funds, source-of-wealth, transaction, tax, or supporting information; conduct continuing client due diligence; retain compliance records; and make disclosures or reports to competent authorities where required or permitted by anti-money laundering, counter-terrorist financing, sanctions, tax, company, court, law-enforcement, professional, or other applicable requirements. Aries may be prohibited from notifying the client of a review, report, or disclosure.
Excluded Persons include:
- Persons who have been imprisoned or convicted of any criminal offense
- Persons who have been proven to act fraudulently or dishonestly in any civil proceedings
- Persons who have demonstrated moral corruption in any way
Illegal or prohibited activities include:
- Illegal or other activities related to money laundering, receiving proceeds from drug trafficking, terrorist activities, or criminal activities
- Trading with countries excluded from time to time by banks and financial institutions
Business activities not approved by Aries include but are not limited to:
- Industrial espionage
- Weapons and arms trade
- Human, human or animal organs, biological materials or nuclear materials
- Pornography, gambling
- Any other purposes that are illegal under the law of the place of incorporation or establishment of the company
- Engaging in business or other purposes that are unacceptable to Aries
Fees and Direct Expenses
The client undertakes to pay the negotiated agreed service fee charged by Aries upon receipt of Aries's invoice. Fees are as described in Aries's published fee schedule and may change from time to time.
The client undertakes to pay Aries in advance for all direct expenses, government duties, license fees, or government fees of any nature related to the company. Aries is not liable for any fines, penalties, or other liabilities incurred by the client or the company, and the client assumes full responsibility for paying these fees and indemnifying Aries for any liability in this regard.
If the client fails to promptly settle the invoice issued by Aries, the client authorizes Aries to deduct fees, direct expenses, and other expenses from any account or funds under Aries's control belonging to the client.
If the client does not require the services provided by Aries, the client should notify Aries within thirty days of receiving Aries's invoice for services for the next year. If the client fails to notify Aries within the relevant 30 days, the client shall be deemed to have agreed to pay Aries's service invoice in full.
Except where required by law or agreed otherwise in writing, fees already earned, work already performed, and non-cancellable costs or commitments are not refundable. Aries may refuse or stop acting where permitted by these terms or the applicable engagement, but any refund or credit will be assessed under the applicable engagement terms, the work performed, costs incurred, and mandatory law.
Government, registry, bank, broker, payment-processor, foreign-exchange, tax, duty, courier, platform, and other third-party charges, requirements, processing times, availability, and decisions may change or fail outside Aries's control. Unless Aries agrees otherwise in writing, the client is responsible for those costs and for failed or reversed payments, chargebacks, foreign-exchange differences, and third-party outages or delays.
Directors, Statutory Positions and Registered Office
Directors and officers will always consider client requests, but do not require them to act in any way they consider dishonest, illegal, improper, or unethical.
The registered office address provided by Aries to the client company shall not be cited in any marketing or company information, advertisements, or announcements without the express written consent of Aries.
Aries or the registered agent of the relevant jurisdiction may move its office to another location, and this may require a change in the company's registered office address.
General Provisions
The client shall provide all instructions or requests regarding company affairs to Aries in writing. Aries may, at its sole discretion, agree to act on any other request or instruction, unless expressly stated in writing, Aries is not responsible for any misunderstanding or error.
Communications related to company management are deemed to have been correctly communicated to the client if they are sent to the postal address, email address, or fax that the client has notified Aries.
Aries is not liable for failing to comply fully or partially with any instructions received from the client, nor is it liable for the consequences of not receiving instructions for any reason.
Aries provides information about offshore trust services, investment consulting, and business affairs in its brochures, worldwide websites, and other materials. Such information does not constitute legal, tax, or other professional advice.
If Aries receives mail on behalf of the client, whether by post, courier, or otherwise, Aries reserves the right to examine the contents of such mail.
The client must provide true, complete, accurate, and current identity, ownership, control, contact, business, source-of-funds, source-of-wealth, instruction, and supporting information. Aries may rely on that information when preparing filings, statutory and professional records, service documents, accounting and tax work, audit services, company secretarial work, and communications.
The client must promptly notify Aries of changes to directors, shareholders, beneficial owners, controllers, signatories, addresses, contact details, business activities, tax position, risk profile, or any other information relevant to the service, KYC, client due diligence, or legal and professional compliance.
Term
Aries may update these website terms from time to time. The current version takes effect when posted and generally applies prospectively, subject to any separate engagement letter, signed agreement, mandatory law, or notice that states otherwise. Where appropriate, Aries may notify affected clients of a material change.
Dispute Resolution
These terms are governed by the laws of Hong Kong. Any dispute, controversy, difference, or claim arising out of or relating to these terms, including their existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong, and the award shall be final and binding on the parties.
Refund Policy
Except where required by law or agreed otherwise in writing, annual or recurring service fees are priced for the agreed service period and are generally non-refundable after the service period or work has commenced. If the client cancels or changes provider during the period, any refund or credit will be assessed under the applicable engagement terms, taking into account work performed and non-cancellable costs.
For ad-hoc or document-preparation work cancelled after work begins, the client remains responsible for work performed and expenses incurred up to cancellation. Any document-preparation or cancellation charge will follow the applicable quotation, engagement letter, or fee schedule communicated to the client.
Cloud Storage Service
Our independent cloud space provides 24/7 access and uses RAID 1 for real-time backup. The cloud service is designed to provide independent space for clients to conveniently store and browse their files at any time. If clients use it for other purposes, the service contract may be terminated immediately. In addition, we will not be responsible for any loss caused by temporary inability to browse files or file loss due to unstable power, unstable weather, regular maintenance, and other issues.
We also recommend that clients regularly download their files for backup. If the client fails to pay the annual renewal fee for the cloud service at the time of renewal, the files in the cloud space may be cancelled.
We reserve the right to review the content contained in the cloud space and to read client letters.
If the stored content is found to involve pornography, gambling, crime, any content that encourages crime or other harmful content, encourages racial discrimination, radical religion or political content, our company has the right to refuse the service application or terminate the service immediately without prior notice.
We reserve the right to regularly update the above terms.
Use of Cloud Infrastructure and Data Location
Aries uses reputable third-party technology and data-infrastructure providers, which may include Microsoft 365, Google Workspace, Amazon Web Services, and MongoDB, to support communications, document handling, storage, databases, security, resilience, and service delivery.
Depending on the provider, service configuration, support arrangement, and backup architecture, personal data may be processed or stored in Hong Kong or other jurisdictions, including elsewhere in the Asia-Pacific region. Provider locations and subprocessors may change over time.
Aries handles these arrangements in accordance with its Privacy Policy and takes reasonably practicable steps to select suitable providers and apply appropriate contractual, access, security, retention, and deletion controls. Use of a particular service does not reduce any rights or protections that cannot lawfully be excluded.
Company Secretary Parking Service
According to Hong Kong Company Ordinance, every Hong Kong company must have a company secretary that must be:
- A natural person aged 18 or above, ordinarily resides in Hong Kong; or
- A body corporate, have its registered office or a place of business in Hong Kong.
Company Secretary is to maintain proper company record as required and stated in Companies Ordinance. Such as:
- Submit annual return to Company Registry;
- Maintain Shareholder(s) and Director(s) record; and
- File proper return to Company Registry.
Company Secretary Annual Parking Service Includes:
- Act as company secretary for company registration purpose;
- Prepare and file annual return to Companies Registry; and
- Advice on company secretarial matters.
* We charge separately on all other works that we have to do in the capacity of your company secretary. Please refer to job basis services for the charge on each kind of service.
Duties of clients
To engage our quality Parking Services, please ensure the followings:
- Up-to-date contact method(s);
- Respond to emails / notifications / confirmations from Aries;
- Inform Aries immediately if any changes of company particular(s) and/or personal information (e.g. passport & address info); and
- Inform Aries when the company starts to commence the business and/or hire staff in Hong Kong.
Job basis services
Services shall follow the price list stated on company website which update on timely basis.
Registered Address Parking Service
By Hong Kong Companies Ordinance Chapter 622 Section 658, every Hong Kong registered company must have a registered address for maintaining statutory records of the company and receipt of acknowledging government's correspondence.
Registered Address Annual Parking Service Includes:
- Registered Address for registration purpose
- A Hong Kong address for business mail receiving
- Receive mail from the government
- Immediate notice on mail received
- 3-month mails keeping
- Advice on registered address matters
* We charge separately on all other works that we have to do in the capacity of your Registered Address. Please contact your manager in charge for the charge on each kind of service.
Mail Handling
- We keep mails received for 1 month only; and
- We strongly suggest client to give standing instruction - forwarding mails once every 2 weeks or every month.
Call Answering
- We handle calls on behalf of subscribed clients;
- Unless otherwise mentioned, we receive calls and request caller leaving their contact method, and we will notify subscribed clients thereafter and;
- Only support for Cantonese and English call answering.
Goods handling
- We will not process shipments of the following prohibited items:
- Explosive materials eg Fireworks, firecrackers, ammunition.
- Gases Fire extinguishers, aqualungs, dust removers (spray type), portable condensed oxygen, helium gas, gas stove burners
- for camping, gas for portable stoves, gas for lighters.
- Flammable Liquids Lighter fuel, paint.
- Flammable Solids Matches, lighters.
- Oxidizers and Organic Peroxide Bleach, peroxidative agents, oxygen generators for personal use.
- Poisonous or Contagious Substances.
- Radioactive Substances Plutonium, radium, uranium, caesium.
- Corrosive Substances Mercury, batteries.
- Narcotics and psychotropic substances.
- Live animals.
- Pornographic or immoral materials.
- coins, banknotes, paper money.
- securities of any kind payable to the bearer, traveler’s checks.
- processed or unprocessed platinum, gold, silver, precious stones and other valuables.
- Food are considered sensitive items.
- For parcels exceed 40cm x 27cm x 35cm, we only keep for 3 days. Additional handling fee will be changed at HKD50/day if any violation.
Duties of clients
To engage our quality Parking Services, please ensure the followings:
- Maintain another address for actual business operation;
- Give us standard mail handling instruction; and
- Use virtual office for phone / fax no. service to ensure your clients can get contact directly with you.
Statutory Accounting and Audit Arrangement for Limited Liability Company
Accounting is the preparation of financial statements of the company. The process begins with book-keeping, which is to record the company's business transactions. The financial statements are reports that allow interested parties to evaluate the profitability and solvency of a business. These reports include the following financial statements:
- Balance Sheet
- Income Statement
- Statement of Owner's Equity
- Statement of Cash Flow
Legally required
- Accounting and business records keeping is compulsory according to Hong Kong laws
- Tax department (must be audited)
Hong Kong individual and company are not required to file tax return on monthly basis. It is required on annual basis. Therefore, many SMEs prefer to have formal accounting work be done once a year.
Tax Compliance
Our accountants are committed to assist clients to meet Hong Kong tax filing requirements with tax planning and advice to manage the tax affairs of client’s business. Appoint us as your 'Tax Representative' to assist you in dealing with the Hong Kong Inland Revenue Department (IRD) in relation to its enquiries, annual filing, investigation and etc.
Corporate Tax Compliance
- Annual Tax Filing: Assisted by professional accountants with a perspective view of tax related issues.(ie. Tax Return, Employer Return BIR56B)
- Tax Investigation: To handle the query and investigation raised by tax department. This can be resulted in sample check, but most often with certain suspicious in tax department’s record. Proper and careful handling is important to avoid and minimize the potential loss and penalty.
- Tax Exemption Claim: As A characteristic of Hong Kong tax system, Hong Kong adopts territorial concept of taxation. Generally speaking, a Hong Kong company may not be required to pay tax for its income generated outside of Hong Kong with certain proof.
Individual Tax Compliance
- Salaries Tax: All income from any office, employment or pension in Hong Kong
- Property Tax: Rental income arising from properties situated in Hong Kong
- Sole Proprietorship / Partnership: Profits arising from trade, professions or business in Hong Kong
